Seller Assistant (“Service”) is a software platform that enables e-commerce sellers to manage products, inventory, orders, analytics, and related operational data across third-party marketplaces, including but not limited to Amazon, TikTok Shop, Walmart, and others.

By accessing or using the Service, you agree to these Terms of Service (“Terms”). If you do not agree, you may not use the Service.

2. Eligibility

You must:

• Be at least 18 years old

• Have authority to bind your business entity (if applicable)

• Maintain valid seller accounts on connected marketplaces

3. Account Registration

To use the Service, you must:

• Create an account

• Provide accurate and complete information

• Maintain the confidentiality of your credentials

You are responsible for all activity under your account.

4. Third-Party Marketplace Integrations

The Service integrates with third-party platforms via OAuth authorization or API credentials.

By connecting a marketplace account, you:

• Authorize Seller Assistant to access permitted data

• Confirm you have the legal right to grant such access

• Acknowledge that marketplace terms and policies still apply

Seller Assistant is not affiliated with, endorsed by, or sponsored by Amazon, TikTok, Walmart, or any other marketplace.

5. Permitted Use

You may use the Service only for lawful business purposes.

You may not:

• Reverse engineer or attempt to access source code

• Access unauthorized data

• Use the Service for fraud or illegal activities

• Violate marketplace policies

• Resell or redistribute the Service without permission

6. Data Processing & AI Usage

The Service may use automated systems, including AI-based processing, to:

• Analyze marketplace data

• Generate operational insights

• Provide recommendations

All outputs are informational. You are responsible for reviewing and validating actions before execution.

7. Fees & Payments

If applicable:

• Subscription fees are billed in advance

• Fees are non-refundable unless required by law

• Failure to pay may result in suspension or termination

8. Intellectual Property

All software, design, and content of the Service are owned by Seller Assistant.

You retain ownership of your business and marketplace data.
You grant Seller Assistant a limited license to process your data solely to provide the Service.

9. Disclaimer of Warranties

The Service is provided “as is” and “as available.”

We do not guarantee:

• Marketplace uptime

• API availability

• Accuracy of third-party data

• Sales performance or profitability

10. Limitation of Liability

To the maximum extent permitted by law:

Seller Assistant shall not be liable for indirect, incidental, or consequential damages, including lost profits or business interruption.

Total liability shall not exceed the amount paid by you in the preceding 12 months.

11. Termination

We may suspend or terminate accounts if:

• These Terms are violated

• The Service is misused

• Required by law

You may terminate your account at any time.

12. Governing Law

These Terms are governed by the laws of the State of [Washington], without regard to conflict of law principles.

13. Changes to Terms
